1. Asset Management Industry Overview
How collective investment schemes work, what the Hong Kong fund industry looks like and who the key participants are.
Key facts
- A CIS pools investor contributions, participants have no day-to-day control, and profits or income are shared collectively (SFO, Schedule 1).
- Offers of a CIS to the Hong Kong public need SFC authorization (section 104 of the SFO); advertising an unauthorised scheme to the public is an offence under section 103 unless an exemption applies.
- Benefits of managed funds: diversification, professional management, economies of scale and access with small amounts. Costs: management, subscription, redemption and performance fees.
- Hong Kong is a leading Asian asset management centre, serving both onshore funds and offshore funds distributed here, supported by cross-border initiatives.
- Participants include investors, promoters, fund managers (Type 9), trustees, custodians and depositaries (Type 13), distributors, and support providers such as administrators, transfer agents and auditors.
Flashcards
Exam tip: Questions often test who holds the assets (trustee or depositary) versus who manages them (fund manager). Do not swap them.
2. Asset Classes and Fund Types
The main asset classes, the common types of managed funds and the difference between active and passive management.
Key facts
- Main asset classes: equities, fixed income, hybrids (such as convertible bonds), property, derivatives, foreign exchange, alternative investments and virtual assets.
- Open-ended funds issue and cancel units on demand at NAV-based prices; closed-ended funds have fixed capital and trade on an exchange at premiums or discounts.
- Common fund types: equity, fixed-income, money market, guaranteed, property (including REITs), multi-asset and exchange-traded funds.
- Hong Kong REITs must distribute not less than 90% of net income after tax under the SFC's REIT Code.
- Guaranteed funds rely on a guarantor and typically guarantee capital only at maturity, not returns.
- Active managers try to beat a benchmark; passive managers track an index and minimize tracking error.
Flashcards
Exam tip: Match the fund type to the investor's need (income, safety, growth) and check whether the fund is open-ended or closed-ended before answering.
3. Depositaries of SFC-Authorised CIS
The depositary's custody and oversight functions for SFC-authorised collective investment schemes, and the risks it must manage.
Key facts
- Type 13 covers safekeeping and control of CIS assets plus oversight of CIS operations; the depositary never manages the portfolio.
- A depositary may appoint delegates but remains fully responsible for their selection, due diligence and ongoing monitoring.
- Custody functions: registration, safekeeping and settlement of assets, asset transfers, CIS bank accounts, daily cash reconciliation and distribution payments.
- Oversight functions: NAV and fair valuation, pricing errors and investor compensation, post-trade verification of investment and borrowing limits, subscription and redemption processing, and the holder register.
- Liquidity risk tools include redemption gates, notice periods, swing pricing and, in extreme cases, suspension of dealings.
- Insolvency and internal control risks are mitigated by segregation of assets, financial monitoring of delegates and banks, and robust escalation procedures.
Flashcards
Exam tip: If an option has the depositary making investment decisions, setting the fund's objective or guaranteeing returns, it is wrong: the depositary oversees.

- The depositary oversees but never manages: any option where the depositary picks investments, sets the fund's objective or guarantees returns is wrong.
- Most of the paper is Topic 3: know the oversight duties cold, especially cash reconciliation, fair valuation, pricing errors and post-trade verification of investment limits.
